Welcome to Bana (bana.one), operated by Bana Textile Pvt. Ltd. (“Company”, “we”, “us”, or “our”). By accessing our procurement platform, requesting swatch kits, submitting a Request for Quote (RFQ), or placing a Purchase Order (PO), you (“Client”, “Buyer”, or “User”) agree to be bound by the following Terms of Service.
Bana is a strict Business-to-Business (B2B) fabric procurement platform. We do not sell to individual consumers. By using this platform, you warrant that you are purchasing materials strictly for commercial use, manufacturing, apparel production, or resale, and possess a valid tax/business registration (e.g., GST in India, EIN/VAT internationally).
Validity: All prices issued via an RFQ or custom invoice are valid for the exact period stated on the quotation sheet, due to the fluctuating nature of yarn, dyeing, and shipping costs.
Binding Orders: A transaction becomes legally binding only when Bana issues a formal Order Confirmation following the receipt of a signed Purchase Order and the agreed-upon advance payment.
MOQs: Our standard Minimum Order Quantity ranges from 50 meters to 100 meters per SKU, as designated in our catalog. Orders failing to meet these thresholds will not be processed.
Production Tolerances: Wholesale textile manufacturing is subject to slight variations. The Client accepts a commercial tolerance of +/- 5% on total metrage, weight (GSM), and color shade matching (due to dye lot variations).
Lead Time Tiers: Standard lead times vary by fabric category (typically 10 to 21 days from confirmed PO to dispatch). While we maintain a 98.4% on-time delivery rate, stated timelines are estimations.
Shipping Terms: Unless otherwise agreed in writing, international shipments are fulfilled under specified Incoterms (e.g., FOB, CIF, or EXW) detailed in your proforma invoice. Bana relies on third-party logicians (3PL) and is not liable for structural customs delays at destination ports.
Certifications: We source certified fabrics (GOTS, OEKO-TEX, BCI, REACH, ISO 9001) through our partner mill network. To secure certification compliance, the Buyer must explicitly request the certification at the RFQ stage.
Quality Claims: Any claims regarding defects, short rolls, or non-conformance must be submitted in writing within 10 business days of receiving the shipment, accompanied by photo/video evidence. No claims will be accepted after the fabric has been cut, dyed, or processed by the buyer.
To the maximum extent permitted by law, Bana Textile Pvt. Ltd. shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or production downtime, arising out of fabric delays or defects. Our total liability shall not exceed the total amount paid by the Client for the specific order in question.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms or commercial transactions shall be subject to the exclusive jurisdiction of the courts located in India.
